Confirmation statements: essential information

Before 30 June 2016 all companies and limited liability partnerships (LLPs) were required to submit an annual return (form AR01) to Companies House. This return provided Companies House with information about the company such as:

  • information about the Company directors and company secretary
  • the business’s registered office

  • its share capital

  • shareholdings.

The annual return was scrapped just 3 short months ago and has been replaced by the confirmation statement (CS01).

The move, as stipulated by the 2015 Small Business, Enterprise and Employment Act, is designed to simplify the process of business owners.

How is the confirmation statement different to the annual return, and how do company directors file it?

What is a confirmation statement?

Confirmation statements simplify the reporting requirements for companies whose information does not change from year to year.

The old annual return forced companies to resubmit information each year even if it remained unchanged. With the confirmation statement, companies are able to notify Companies House that there have been no changes rather than having to re-enter the same information each year.

The period of time companies have to submit their confirmation statements has been halved from 28 days to 14 days.

The information provided on the confirmation statement is essentially unchanged from the old annual return, with one exception – the Persons with Significant Control (PSC) register. All limited companies are required to submit a PSC register and this must contain information about individuals who:

  • own more than 25% of the company’s shares
  • control more than 25% of the company’s voting rights

  • can appoint and remove company directors

  • have significant influence over the company or a related partnership or trust.

Who has to file a confirmation statement?

All businesses that previously had to file an AR01 must submit a confirmation statement. These include:

  • limited companies
  • public limited companies

  • LLPs

  • community interest companies

  • unlimited companies.

Filing a confirmation statement

Confirmation statements can be filed electronically and by post. It’s important to note that submitting the forms by post will cost you £40 compared to electronic filing which only costs £13.
